Terms of service
The agreement
These are the terms for using Baseline, a service of TCI Digital ("we", "us"). By signing in you agree to them on behalf of your company, and you confirm you are allowed to do that. If you don't agree, don't use Baseline.
Your account and your company
- Baseline is invite-only. People join a company's account by invitation from one of its admins.
- Admins invite and remove people and handle billing. Members do everything else. Everyone in a company can open and edit all of its projects.
- Keep your sign-in to yourself. You are responsible for what is done under your account.
- Each company's projects are its own. Another company cannot see them.
What Baseline does, and what it does not
Baseline draws test fits and budget estimates for commercial interiors. Plans are for conceptual purposes only. Actual dimensions, fixtures and finishes may vary. For final design and construction documentation, consult a licensed architect. The estimate is a budget figure built from square-foot rates; it is not a bid, a quote or a guarantee of cost. You decide how to use what Baseline produces, and you are responsible for checking it before you rely on it with a client, a landlord or a building department.
Your content
- What you give Baseline and what it draws for you belongs to your company.
- You give us permission to store, process and display that content so we can run the service for you, including sending it to the providers named in our privacy policy.
- You confirm you have the right to upload the drawings and information you give Baseline.
- We may look at plans to improve Baseline. We do not sell your content and we do not use it to advertise.
Fees
- During a pilot there is no charge. We will tell you before anything starts costing money.
- A subscription is billed per company, yearly in advance, by invoice through Stripe. Prices are the ones we agree with you in writing.
- If an invoice is late, Baseline keeps working while it is settled. If it stays unpaid, the subscription ends: your plans stay open to view and download, and editing stops until it is renewed.
- Taxes that apply to the subscription are added to the invoice.
Fair use
Use Baseline for your own business. Don't try to break into it, copy it, resell it, scrape it, overload it, or use it for anything unlawful. Don't upload anything you don't have the right to share.
Changes and availability
Baseline will change as we improve it. We may add, change or remove features. We aim to keep it available but do not promise it will never be down. We will give reasonable notice of changes that matter.
Ending
Your company can stop using Baseline at any time by telling us. We can end an account that breaks these terms. After an account ends, plans stay open to view and download for twelve months, then they are deleted.
Our responsibility
Baseline is provided as it is. To the extent the law allows, we are not responsible for losses that come from relying on a plan or an estimate, from the service being unavailable, or from anything outside our reasonable control. If we are found responsible for something, our liability is limited to the amount your company paid us in the twelve months before the claim.
The rest
- These terms are governed by the laws of the State of New Jersey, and disputes go to its courts.
- If a part of these terms turns out to be unenforceable, the rest still applies.
- If these terms change, the new version will be posted here with its date, and we will email your admins about changes that matter.
